These Terms and Conditions (the “Agreement”) govern your access to and use of our website, located at https://www.retrainingshop.com (the “Website”), as well as the purchase and use of our Digital products, etc and services made available through the Website. Please read these Terms and Conditions carefully before using our Website or purchasing our Digital products, etc. By accessing or using our Website, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree with any part of this Agreement, you must not access or use the Website or purchase any Digital products, etc. We reserve the right to update or modify this Agreement at any time without prior notice. Your continued use of the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. It is your responsibility to review this Agreement periodically for any updates or changes. The headings used in this Agreement are included for convenience only and will not limit or otherwise affect the terms herein.

1.1. By accessing, utilizing, or purchasing Digital products, etc from our Website, you hereby affirm, represent, and warrant that you have attained the age of majority, being no less than 18 years of age, and possess the legal capacity to enter into legally binding contractual agreements.
1.2. In the event that you are below the age of 18, you may access and utilize the Website solely under the supervision and consent of a parent or legal guardian, who has expressly agreed to be bound by the terms and conditions outlined in this Agreement. The responsibility of ensuring compliance with this clause shall rest upon the parent or legal guardian.
1.3. The Retraining Shop, in its sole and absolute discretion, retains the right to deny access to the Website, terminate user accounts, remove or edit content, or cancel orders, without any obligation to provide justification or prior notice to the affected parties.
1.4. Any misrepresentation or fraudulent information provided by users concerning their age or legal capacity may result in the immediate termination of their account and access to the Website, with the Retraining Shop reserving the right to pursue any available legal remedies against such users for their breach of this Agreement.

2. DIGITAL PRODUCTS

2.1. Digital Products include, but are not limited to, courses, e-books, templates, and other downloadable content. All Digital products, etc can be delivered via google docs or sheets, some are delivered via canva, pdf, or simple word, template or pages doc( different file types ppt, pdf, pages, html, .csv et). Some documents may have editing and copy restrictions to protect the intellectual property rights of the Retraining Shop and its licensors. Customers are prohibited from copying, modifying, distributing, or selling our digital products without prior written permission from the Retraining Shop. All documents come with detailed usage rights explanations to provide clarity on the extent of the customers’ permitted usage of our digital products. Unless otherwise discussed with customer as we may license, or private label, or release other rights to clients with an agreed upon contract. Customers are responsible for complying with the usage rights of our digital products, and any unauthorized use may result in legal action by the Retraining Shop.
2.2. Access to Digital Products is granted as long as we are in business. We reserve the right to make changes to these products, including updates, removal of products, sections, or information that no longer applies, or any content that we find controversial, unethical, illegal, or for any reason. Customers will be notified of any significant changes to our digital products via email or on our website. In the event that a customer faces any technical issues or difficulties accessing our digital products, they should contact our customer support team for assistance. We will endeavor to resolve any issues promptly, but we cannot guarantee the uninterrupted availability or compatibility of our digital products with all systems and devices.
2.3. All Digital Products are available once payment clears or is charged. Access will be granted once the payment provider clears payment to us. Upon delivery of the product with links, PDFs, or order summaries, the order is considered complete, making the transaction irrevocable. Customers are responsible for ensuring that their payment information is accurate and up-to-date. In the event of a failed payment or a chargeback, the Retraining Shop reserves the right to suspend the customer’s access to the digital products until the payment issue is resolved.
2.4. No Refunds: Owing to the inherent nature of Digital Products, the Retraining Shop maintains a strict no-refund policy. Upon downloading a Digital Product, customers gain immediate access to the content, rendering any refunds inadmissible. Customers are encouraged to review the product description, features, and system requirements before making a purchase to ensure that the digital product meets their needs. In the event of any technical issues or errors, customers should contact our customer support team for assistance, and we will endeavor to provide a resolution promptly.
2.5. Intellectual Property Rights: All Digital Products constitute the exclusive property of the Retraining Shop and/or its licensors, protected by applicable copyright and other intellectual property legislation. Customers are granted a limited, non-exclusive, non-transferable, and
non-sublicensable license to utilize the Digital Products strictly for personal, non-commercial purposes. Customers are prohibited from reverse engineering, decompiling, or disassembling our digital products or attempting to extract their source code or algorithms. Customers may not use our digital products for any commercial purposes or exploit our intellectual property rights for financial gain without our prior written consent.
2.6. Absence of Guarantees: The Retraining Shop disclaims any guarantees, express or implied, regarding specific outcomes, successes, or leads resulting from the utilization of our Digital Products. Any and all liabilities arising from the customers’ usage of the Digital Products are hereby expressly disclaimed. The Retraining Shop cannot guarantee that the use of our digital products will result in any specific outcomes, such as job placements, promotions, or increased revenues. Our digital products are designed to provide guidance, education, and training, but customers must apply their judgment and expertise to achieve their desired outcomes. Customers are solely responsible for any outcomes or results that may arise from using our digital products. 6. AFFILIATE AGREEMENT

6.1. The Retraining Shop may offer an affiliate program (the “Affiliate Program”) that allows approved affiliates (the “Affiliates”) to promote and sell third-party products on our Website in exchange for a commission or fee.
6.2. Affiliates are required to adhere to the terms and conditions of this Agreement, as well as any applicable laws, regulations, and social media guidelines.
6.3. The Retraining Shop reserves the right to remove any Affiliate from the Affiliate Program at any time, without notice, if we believe that the Affiliate is not representing our brand in a manner that aligns with our values or if they violate the terms of this Agreement. If an Affiliate is removed from the program, they will forfeit any earned commissions and may be banned from future participation.
6.4. Inactivity: If an Affiliate does not promote or generate sales within a 60-90 day period, the Retraining Shop may remove their Affiliate status, and the Affiliate will need to reapply to the program.
6.5. Payment Terms: The Retraining Shop uses the GoAffPro platform for its Affiliate Program. Affiliates must adhere to the payment terms outlined by GoAffPro to receive their commissions. The Retraining Shop will not be liable for any disputes arising from Affiliate payments.
7. AFFILIATE RESTRICTIONS
7.1. Affiliates are prohibited from promoting our Affiliate Program on websites that:
7.1.1. Promote sexually explicit content;
7.1.2. Promote violence;
7.1.3. Promote illegal activities;
7.1.4. Promote discrimination based on race, religion, sex, nationality, disability, age, or sexual orientation;
7.1.5. Include RetrainingShop, or any variations or spellings in its name or domain name;
7.1.6. Include any material which infringes on any copyright, trademark, or intellectual property;
7.1.7. Are built in a manner that resembles our Website or leads customers to believe they are our Website or any other affiliate company.
7.2. Affiliates are prohibited from using, among other keywords or exclusively, keywords such as “RetrainingShop”, “RetrainingShop.com”, and/or any other variations or misspellings, and must not direct traffic from such campaigns to their own website before redirecting to our Website. Affiliates who violate this rule will be considered trademark violators and will be banned from our Affiliate Program. The Retraining Shop reserves the right, at any time, to review your placement and use of our links and require that you change the use or placement to comply with the terms and guidelines provided to you.

8. BLOGS AND AFFILIATE LINKS

14. GOVERNING LAW AND JURISDICTION 

14.1. This Agreement and any disputes arising out of or in connection with it shall be governed by the laws of the United States and the State of Wyoming in which the Company is located, without regard to its conflict of law provisions. 

14.2. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of Wyoming in which the Company is located for the resolution of any disputes arising out of or in connection with this Agreement or your use of the Website. 

14.3. You further agree that any legal action or proceeding arising out of or in connection with this Agreement or your use of the Website shall be brought exclusively in the federal or state courts located in the State of Wyoming in which the Company is located, and you hereby irrevocably submit to the exclusive jurisdiction of such courts in any such action or proceeding. 

14.4. In the event of any dispute arising out of or in connection with this Agreement or your use of the Website, the prevailing party shall be entitled to recover from the other party all reasonable attorneys’ fees, costs, and expenses incurred by the prevailing party in connection with such dispute.

Force Majeure: The Retraining Shop shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials. 

15.6. Headings: The headings in this Agreement are for reference purposes only and do not limit or otherwise affect the meaning or interpretation of any provision herein. 

15.7. Notices: All notices, requests, consents, claims, demands, waivers, and other communications under this Agreement must be in writing and sent by email to the Retraining Shop at the email address specified on the Website or otherwise provided by the Retraining Shop. 

15.8. Survival: Any provisions of this Agreement that by their nature should survive the termination or expiration of this Agreement, including, but not limited to, indemnification, limitations of liability, and governing law, shall continue in full force and effect beyond such termination or expiration.
